This Seller Agreement ("Agreement") is entered into between ADEELSAB (PRIVATE) LIMITED ("adeelsab.com", "we", "us", "our") and the individual or entity registering as a seller on the Platform ("Seller", "you"). This Agreement supplements and is incorporated into our Terms of Use and Privacy Policy. By completing Seller registration or listing any product or service on adeelsab.com, you accept this Agreement in full.

1. Eligibility to sell

To register as a Seller, you must:

1. Be at least 18 years of age and legally capable of entering into a binding contract;
2. If registering as an individual, provide a valid CNIC or NICOP;
3. If registering as a business, be a validly existing entity under the laws of Pakistan, for example a sole proprietorship, partnership or company registered with the SECP, and provide relevant registration documents;
4. Hold a valid National Tax Number (NTN) where required by applicable tax law for the category of goods or services you intend to sell, and provide sales-tax registration details where applicable;
5. Provide accurate business and bank account details for receiving payouts; and
6. Not be barred, suspended or blacklisted from selling on the Platform or, to your knowledge, on any comparable marketplace for fraud or serious misconduct.

We reserve the right to accept, reject or request additional verification for any Seller application at our sole discretion.

2. Seller account and verification

2.1 You must complete our onboarding and identity or business verification process before your listings go live. We may request additional documentation, such as proof of address, business licence or product certifications, at any time, including after approval.

2.2 You are responsible for keeping your Seller account information, including bank details, contact information and tax registration, accurate and up to date.

2.3 You may not transfer or sell your Seller account to another person or entity without our prior written consent.

3. Nature of the relationship

3.1 You are an independent seller, contracting directly with Buyers for the sale of your products or services. Nothing in this Agreement creates an employment, agency, partnership or joint-venture relationship between you and adeelsab.com.

3.2 You are solely responsible for your business operations, including sourcing, manufacturing, quality control, pricing decisions within any Platform pricing rules, staffing, and compliance with all applicable laws.

3.3 You have no authority to bind adeelsab.com to any obligation, and must not represent yourself as an employee or agent of adeelsab.com.

4. Seller obligations

You agree to:

1. Provide accurate, complete and non-misleading listings, including true descriptions, specifications, images, pricing and availability;
2. Only list products or services you are legally entitled to sell and that are genuine, safe and comply with applicable Pakistani law and any relevant industry standards or certifications;
3. Honour the prices, availability and terms displayed on your listings at the time of a Buyer's order;
4. Process and pack orders and hand them to our rider or courier within the timeframes stated on your listings or, where none is stated, within a reasonable time;
5. Provide responsive, professional customer service to Buyers regarding your listings and orders;
6. Maintain sufficient stock or capacity to fulfil orders you accept, and promptly update listings when items are out of stock;
7. Comply with all Platform policies, including this Agreement, the Terms of Use, and any category-specific listing rules we publish from time to time; and
8. Issue valid tax invoices or receipts to Buyers where required by law.

5. Prohibited products and conduct

You must not list, advertise or sell:

1. Counterfeit, replica or unauthorised branded goods;
2. Stolen goods or goods obtained unlawfully;
3. Narcotics, weapons, explosives or other items prohibited or restricted under Pakistani law;
4. Products requiring a licence or regulatory approval you do not hold, for example certain pharmaceuticals, medical devices or food products;
5. Items that infringe the intellectual-property or other rights of a third party; or
6. Content or products that are obscene, defamatory or otherwise unlawful under Pakistani law.

You must also not:

• Manipulate reviews or ratings, including through fake accounts or incentivised reviews that are not disclosed as such;
• Contact Buyers to solicit transactions outside the Platform in order to avoid applicable fees;
• Use Buyer personal information for any purpose other than fulfilling the specific order and related customer service, as further described in our Privacy Policy; or
• Engage in price manipulation, bait-and-switch listings or other deceptive sales practices.

Violation of this Section may result in listing removal, withheld payouts pending investigation, account suspension or termination, and referral to law enforcement where appropriate.

6. Listing content and intellectual property

6.1 You represent and warrant that you own or have the necessary rights, licences and permissions to use and display all content, including text, images, trademarks and product designs, included in your listings.

6.2 You grant adeelsab.com a non-exclusive, worldwide, royalty-free, sublicensable licence to host, reproduce, display, adapt for formatting purposes, and distribute your listing content for the purpose of operating, promoting and improving the Platform, including in marketing and social media.

6.3 You remain responsible for ensuring your listings do not infringe any third party's intellectual-property rights, and you will indemnify us as set out in Section 15 for any claim arising from such infringement.

7. Pricing

7.1 You set the retail price for your products and services, subject to any Platform-wide pricing rules we publish, for example prohibitions on price-gouging during emergencies, or minimum-advertised-price policies for certain categories.

7.2 All prices must be displayed in Pakistani Rupees (PKR) inclusive of any taxes you are required to collect, unless the Platform's listing format specifies otherwise.

8. Fees, commission and payment terms

8.1 Commission. adeelsab.com charges a commission of 7% of the item price on each completed sale, the same rate for every category and for every seller at launch, Founding Sellers included. There is no listing fee, no registration fee and no monthly subscription. Every fee we charge is published on our pricing page; if a fee is not on that page, we do not charge it. We may update the fee schedule from time to time with 15 days' notice to Sellers; continued listing of products after the effective date constitutes acceptance of the updated fees.

8.2 Payment collection. Orders are placed on a cash-on-delivery basis. The Buyer pays cash to the rider or courier on delivery. adeelsab.com collects that cash through AdeelSab Couriers and its courier partners, and remits your net proceeds — the order value less commission and any applicable charges — to your registered account. Cash collected is remitted nine days after delivery.

8.3 Payout schedule. Payouts are made every week to your registered bank account, JazzCash or Easypaisa, in your own name, subject to (a) successful delivery confirmation or expiry of the applicable return window, and (b) deduction of applicable commission, fees and any refunds. The minimum payout is Rs 3,000; if your balance is below that on a payout day it carries over and is added to your next payout. There is no payout or transfer fee.

8.4 Reserves and holdbacks. We may withhold or place a reasonable reserve on payouts where an order is under dispute, a refund investigation is pending, or we reasonably suspect fraud, pending resolution. Only the disputed order's earnings are held; the rest of your payout is released on schedule.

8.5 Accuracy of bank details. You are solely responsible for the accuracy of the account details you provide. adeelsab.com is not liable for funds transferred to an incorrect account resulting from inaccurate information you provided, though we will assist in good faith to investigate and recover misdirected funds where possible.

8.6 Refunds. Where a refund is owed to a Buyer due to your failure to deliver, defective or misdescribed goods, or a valid return under Platform policy, the refund amount will be deducted from your current or future payouts, or invoiced to you directly if insufficient payouts are pending.

9. Taxes

9.1 You are solely responsible for determining, collecting, reporting and remitting all taxes, including income tax, sales tax and any applicable withholding tax, arising from your sales through the Platform, in accordance with the Income Tax Ordinance, 2001, applicable provincial and federal sales-tax laws, and any other applicable tax legislation.

9.2 adeelsab.com may be required by law to report Seller transaction data to tax authorities, including the Federal Board of Revenue, and to withhold tax at source where required by applicable law. Any such withholding will be reflected in your payout statements.

9.3 You must provide any tax information we reasonably request to comply with our own legal and reporting obligations.

10. Order fulfilment and delivery

10.1 Delivery is arranged by adeelsab.com: AdeelSab Couriers, our own fleet, collects same-city orders, and our national courier partners carry orders elsewhere in Pakistan. You are responsible for packing each order securely and handing it over ready for dispatch within the timeframe stated on your listing.

10.2 Delivery costs a flat Rs 350 per parcel, anywhere in Pakistan. You decide per product whether the Buyer pays it, you pay it to offer free delivery, or you split it. Where you pay, it is deducted from your payout.

10.3 Where a parcel is returned undelivered (return to origin, or RTO) because the Buyer refused it, could not be reached after three delivery attempts, or gave an incomplete or incorrect address, the parcel comes back to you and an RTO charge of Rs 300 per parcel is deducted from your payout, the same in every zone. A Buyer who refuses a parcel is not billed for the return, so this cost falls on you. The product remains yours.

10.4 You must promptly notify Buyers and adeelsab.com support of any delay, stock-out or fulfilment issue.

10.5 For services, you must honour confirmed bookings and provide the service as described, at the agreed time and standard.

11. Returns, refunds and cancellations

11.1 A Buyer may request a return within two days of delivery, with a reason and photographs. You are notified and can see the Buyer's photographs before anything is collected. A rider or courier then collects the item from the Buyer and delivers it back to you. Return shipping on a customer return is paid by the Buyer.

11.2 You must display any additional return, refund and cancellation terms for each listing, consistent with applicable consumer-protection law and these minimum standards.

11.3 You must process valid return and refund requests promptly. Repeated failure to honour valid claims may result in adeelsab.com processing the refund directly and deducting the amount from your payouts, in addition to other remedies under this Agreement.

12. Customer disputes

12.1 You must respond to Buyer inquiries and disputes promptly and in good faith.

12.2 Where a Buyer escalates a dispute to adeelsab.com, you agree to cooperate with our investigation, including providing relevant evidence such as proof of dispatch, delivery confirmation and communication records, within the timeframe we request.

12.3 adeelsab.com's decision on an escalated dispute, made reasonably and in good faith based on available evidence, may result in a refund to the Buyer, deducted from your payouts, without prejudice to your right to separately pursue the matter through applicable legal channels.

13. Quality, authenticity and warranty

You represent and warrant that all products and services you list:

1. Are as described, authentic and, where applicable, new or in the condition stated;
2. Comply with applicable safety, quality, labelling and regulatory standards in Pakistan;
3. Do not infringe any third party's rights; and
4. Are backed by any warranty or guarantee you advertise, which you will honour directly with the Buyer.

14. Confidentiality and data protection

14.1 You must keep confidential any non-public information you receive from adeelsab.com relating to our business, technology or fee structures, except as required by law.

14.2 You must handle Buyer personal information you receive, including name, address and contact details, in accordance with our Privacy Policy: use it solely to fulfil orders and provide related support, implement reasonable safeguards to protect it, and delete it once it is no longer needed for that purpose, except where longer retention is required by law, for example for tax records.

15. Indemnification

You agree to indemnify, defend and hold harmless adeelsab.com and its officers, directors, employees and agents from and against any claims, damages, losses, liabilities and expenses, including reasonable legal fees, arising out of or related to: (a) your products or services, including any claim of defect, injury, infringement or non-compliance with law; (b) your breach of this Agreement; (c) your violation of any applicable law; or (d) any dispute between you and a Buyer.

16. Limitation of liability

To the maximum extent permitted by applicable law, adeelsab.com is not liable for indirect, incidental or consequential damages, including lost profits or lost sales, arising from your use of the Platform.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under the laws of Pakistan, including liability for fraud or wilful misconduct.

17. Suspension and termination

17.1 We may suspend or terminate your Seller account, remove listings, or withhold payouts pending investigation, immediately and without notice, if we reasonably believe you have violated this Agreement, engaged in fraudulent or harmful conduct, or posed a risk to Buyers or the Platform.

17.2 Either party may terminate this Agreement for convenience with 15 days' written notice, subject to completion of any pending orders and settlement of outstanding payouts, less any applicable deductions.

17.3 Upon termination, you remain responsible for fulfilling or properly cancelling any outstanding orders, and provisions relating to fees owed, confidentiality, data protection, indemnification and limitation of liability will survive termination.

18. Non-circumvention

During the term of this Agreement and for two months after termination, you agree not to solicit Buyers you connected with through the Platform to complete transactions outside adeelsab.com for the purpose of avoiding applicable commissions, except where the Buyer independently initiates contact through means unrelated to the Platform.

19. Dispute resolution and governing law

19.1 This Agreement is governed by the laws of the Islamic Republic of Pakistan.

19.2 The parties will first attempt to resolve any dispute arising from this Agreement through good-faith negotiation. Subject to this clause, the courts of Lahore, Pakistan shall have exclusive jurisdiction.

20. General provisions

20.1 Amendments. We may update this Agreement from time to time, including the fee schedule, with reasonable notice as described in Section 8.1. Continued use of your Seller account after the effective date of an update constitutes acceptance.

20.2 Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition or sale of assets.

20.3 Severability. If any provision is found unenforceable, the remainder of this Agreement remains in effect.

20.4 No waiver. Failure to enforce any provision is not a waiver of our right to do so later.

20.5 Entire agreement. This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and adeelsab.com regarding your Seller account, superseding any prior agreements or understandings.

21. Acceptance

By checking the box or clicking "I Agree" during Seller registration, or by listing any product or service on the Platform, you confirm that you have read, understood and agree to be bound by this Seller Agreement.
