1. Acceptance of terms

These Terms of Use ("Terms") form a legally binding agreement between you and ADEELSAB (PRIVATE) LIMITED ("adeelsab.com", "we", "us", "our"), governing your access to and use of the website located at adeelsab.com, together with any related applications and services (collectively, the "Platform").

By registering an account, browsing, placing an order, listing a product or service, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy and, if you register as a seller, our Seller Agreement (together, the "Agreements"). If you do not agree, you must not use the Platform.

Pre-launch note. The marketplace has not launched yet. Today the Platform is this website and a seller waitlist. Joining the waitlist is free, creates no contract to sell and guarantees no place in any programme. The rest of these Terms describes the marketplace as it will operate once it opens.

2. About adeelsab.com

adeelsab.com is an online marketplace that enables independent third-party sellers ("Sellers") to list, market and sell products or services to buyers ("Buyers"). Except where a listing is expressly identified as sold directly by adeelsab.com, adeelsab.com is not the seller, manufacturer or supplier of the products or services listed on the Platform. We provide the technology, storefront and related tools that connect Buyers and Sellers; the contract of sale for each transaction is formed directly between the Buyer and the relevant Seller.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age and capable of entering into a legally binding contract under the Contract Act, 1872;
• Not be barred from using the Platform under applicable law; and
• Provide accurate, current and complete information when registering an account.

If you use the Platform on behalf of a business or other entity, you represent that you are authorised to bind that entity to these Terms.

4. Account registration and security

4.1 You must create an account to place orders, list items for sale or access certain features. You agree to provide accurate registration information and to keep it up to date.

4.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@adeelsab.com if you suspect unauthorised access to your account.

4.3 We reserve the right to suspend or terminate accounts that contain inaccurate information, are used fraudulently, or otherwise violate these Terms.

5. Buyers and Sellers

5.1 Buyers use the Platform to browse listings, place orders and pay for products or services.

5.2 Sellers use the Platform to list and sell products or services, subject to the additional terms in our Seller Agreement, which is incorporated into these Terms by reference for all Sellers.

5.3 A single account may act as both Buyer and Seller, subject to completing the applicable registration and verification steps for each role.

6. Marketplace role and relationship between parties

6.1 adeelsab.com acts as an intermediary platform. Unless a listing is expressly marked as sold directly by adeelsab.com:

• The contract of sale is between the Buyer and the Seller;
• The Seller is solely responsible for the accuracy of the listing, the quality, safety, legality and authenticity of the product or service, fulfilment, and compliance with applicable consumer-protection, tax and other laws; and
• adeelsab.com is not a party to that contract and does not guarantee the performance of any Seller or Buyer.

6.2 Nothing in these Terms creates a partnership, joint venture, agency, franchise or employment relationship between adeelsab.com and any User.

7. Listings, orders and formation of contract

7.1 Product and service listings on the Platform are invitations to treat, not binding offers by adeelsab.com.

7.2 When a Buyer places an order, the Buyer makes an offer to purchase from the Seller. A binding contract is formed when the Seller accepts the order, including by dispatching the item or confirming the service booking, unless the Seller cancels the order in accordance with these Terms.

7.3 We may, at our discretion, cancel or refuse to process any order that we reasonably believe involves fraud, violates these Terms, or poses a risk to the Platform or its Users.

8. Pricing and payments

8.1 Prices displayed on the Platform are set by Sellers, or by us for items we sell directly, and are shown in Pakistani Rupees (PKR) unless stated otherwise.

8.2 Payment method. Orders on the Platform are placed on a cash-on-delivery basis. The Buyer pays the rider or courier in cash when the parcel is delivered. adeelsab.com collects that cash through its own fleet and its courier partners, deducts the applicable commission and charges, and pays the Seller's net proceeds into the Seller's registered account. Where we introduce online payment methods in future, the applicable terms will be shown at checkout and these Terms will be updated.

8.3 Buyers should inspect the parcel at the door before paying, where the Seller's listing allows it, and should keep the delivery receipt. Buyers must report any payment or delivery irregularity to us promptly at support@adeelsab.com.

8.4 All applicable taxes, duties and bank charges are the responsibility of the Buyer or the Seller as specified at checkout or in the Seller Agreement.

9. Shipping and delivery

9.1 Delivery is arranged through AdeelSab Couriers, our own fleet, for same-city orders, and through our national courier partners elsewhere in Pakistan. Delivery timelines shown on the Platform are estimates only.

9.2 Risk of loss and title to products pass to the Buyer upon delivery, unless otherwise required by applicable law.

9.3 Where a parcel cannot be delivered because the Buyer refuses it, cannot be reached after three delivery attempts, or gave an incomplete or incorrect address, the parcel is returned to the Seller. The Buyer is not charged for that return; the return charge is borne by the Seller.

10. Cancellations, returns and refunds

10.1 A Buyer may request a return within two days of delivery, with a reason and photographs, subject to any additional terms displayed on the listing and to applicable consumer-protection law. Return shipping on a customer return is paid by the Buyer.

10.2 Where a Seller fails to honour a legitimate cancellation, return or refund request, Buyers may escalate the matter to adeelsab.com support at support@adeelsab.com, and we will facilitate resolution between the parties in accordance with our dispute-resolution process (Section 15). We may, at our discretion, mediate, suspend the Seller's account or take other appropriate action. Where we collected the funds directly, we may process the refund and recover it from the Seller.

11. Prohibited activities and content

You agree not to, and not to permit any third party to:

1. List, sell or purchase counterfeit, stolen, illegal, hazardous or regulated goods, including but not limited to narcotics, weapons and items prohibited under Pakistani law;
2. Violate any applicable law, including consumer-protection, customs, tax and intellectual-property law;
3. Post false, misleading, defamatory or fraudulent listings, reviews or communications;
4. Circumvent the Platform's payment, fee or communication systems, including soliciting a User to complete a transaction off-platform to avoid applicable fees;
5. Infringe the intellectual property, privacy or other rights of any person;
6. Upload viruses or malware, or attempt to interfere with the Platform's security or operation;
7. Scrape, reverse-engineer or use automated means to access the Platform without our prior written consent;
8. Harass, threaten or abuse other Users or our staff; or
9. Create multiple accounts to evade suspension, manipulate ratings or gain an unfair advantage.

We reserve the right to remove any listing or content, and to suspend or terminate any account, that violates this Section.

12. Intellectual property

12.1 The Platform, including its design, text, graphics, logos and software, is owned by or licensed to adeelsab.com and is protected by applicable intellectual-property laws. You may not copy, modify, distribute or create derivative works from the Platform without our prior written consent.

12.2 By submitting content to the Platform, including listings, images, descriptions and reviews, you grant adeelsab.com a non-exclusive, worldwide, royalty-free, sublicensable licence to host, display, reproduce and distribute that content for the purpose of operating, promoting and improving the Platform. You represent that you own or have the necessary rights to grant this licence.

12.3 If you believe content on the Platform infringes your intellectual-property rights, please contact us at support@adeelsab.com with sufficient detail for us to investigate.

13. Reviews and ratings

Users may submit reviews and ratings of Sellers, products and services. Reviews must be honest, based on genuine experience, and must not contain defamatory, abusive or unlawful content. We reserve the right to remove reviews that violate this Section or otherwise breach these Terms.

14. Disclaimers

14.1 The Platform and all content, products and services made available through it are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law.

14.2 adeelsab.com does not warrant that the Platform will be uninterrupted, error-free or secure, or that any product listed will meet your expectations, be authentic or comply with any particular standard, except as expressly stated by the relevant Seller and required by applicable consumer-protection law.

14.3 We are not responsible for the conduct, whether online or offline, of any User.

15. Dispute resolution

15.1 Buyer–Seller disputes. Buyers and Sellers should first attempt to resolve disputes directly. If unresolved, either party may escalate the matter to adeelsab.com support at support@adeelsab.com, and we will use reasonable efforts to mediate a resolution, which may include facilitating refunds, return of goods or account action against the party at fault, based on the evidence available to us. Our decision in facilitating such disputes is made in good faith but does not constitute a legal judgment and does not prevent either party from pursuing legal remedies.

15.2 Disputes with adeelsab.com. If you have a dispute with adeelsab.com, please contact us first at support@adeelsab.com so we can attempt to resolve it informally. Nothing in this Section prevents either party from seeking urgent injunctive relief from a competent court.

16. Limitation of liability

16.1 To the maximum extent permitted by applicable law, adeelsab.com, its officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Platform or any transaction with a Seller, whether based in contract, tort or otherwise.

16.2 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the laws of Pakistan, including liability for fraud or wilful misconduct.

17. Indemnification

You agree to indemnify, defend and hold harmless adeelsab.com and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to: (a) your breach of these Terms or the Seller Agreement; (b) your use of the Platform; (c) your violation of any law or the rights of a third party; or (d), for Sellers, any product or service you list or sell through the Platform.

18. Suspension and termination

18.1 We may suspend or terminate your account, or restrict your access to the Platform, at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or for legal or operational reasons.

18.2 You may close your account at any time by contacting support@adeelsab.com, subject to settlement of any pending orders, payments or disputes.

18.3 Sections that by their nature should survive termination, including Sections 12, 14, 16, 17, 19 and 20, will survive.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan. Subject to Section 15, the courts of Lahore, Pakistan shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

20. General provisions

20.1 Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, internet or telecommunications failures, government action or labour disputes.

20.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

20.3 No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

20.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.

20.5 Entire agreement. These Terms, together with the Privacy Policy and, for Sellers, the Seller Agreement, constitute the entire agreement between you and adeelsab.com regarding your use of the Platform, superseding any prior agreements.

20.6 Changes to these Terms. We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date and, for material changes, provide additional notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
